Governance

Lonza’s Executive Committee is responsible for managing Lonza’s business globally and for implementing policies and strategies defined by the Board. The Board has full oversight of the Ethics and Compliance Group at Lonza. The Audit and Compliance Committee (ACC) oversees the Ethics and Compliance program, including reporting and investigations of allegations of wrongdoing.

Our Policies

Every employee is accountable for upholding ethical standards, while managerial responsibility for business ethics includes setting the right example, promoting ethical behavior, and ensuring compliance within their areas of responsibility. Our Code of Conduct provides behavioral guidance and expectations to help all colleagues understand that doing what is right everyday matters. Expanding on these requirements, we have a number of stand-alone policies and guidance documents to provide operating guidelines on key topics.

Whistleblower Protections

Our Whistleblower and Non-Retaliation Policy requires colleagues to report suspected violations of our policies, procedures and applicable laws and safeguards colleagues who report wrongdoing accordingly. Feeling safe and empowered to speak up is a cornerstone of an open and accountable workplace culture. We are committed to creating a safe and protected environment where employees are comfortable raising issues and concerns without fear of retaliation.

Lonza maintains a confidential, multilingual Ethics and Compliance Hotline, available to colleagues and third parties worldwide, which allows reporting in good faith and, where permitted, anonymously. All allegations of misconduct are evaluated and, where appropriate, investigated by the Ethics and Compliance Group. Substantiated cases lead to corrective actions, including disciplinary measures, process improvements, or termination of employment or supplier relationships.

Anti-Corruption and Anti-Bribery

It is our policy to conduct our business in an honest, fair and ethical manner. We strictly forbid bribery and corruption of any kind and we are committed to acting professionally, fairly and with integrity at all times. To this end, we implement and enforce effective systems to prevent bribery and corruption. We provide employees with guidance through anti-bribery and anti-corruption training and policies, including our Principles of Political Engagement, to ensure compliance with applicable global anti-corruption laws and regulations.

Respect for Human Rights

Our Human Rights Principles reinforce Lonza’s commitment to respect all internationally recognized human rights relevant to our operations. These principles reflect our support of the United Nations Global Compact (UNGC) principles, the International Labor Organization (ILO), and the Organization for Economic Cooperation and Development’s Guidance (OECD) for Responsible Business. We have additional policies and procedures that provide further information and controls to ensure respect for all internationally recognized human rights, including our Safety and Sustainability Policy. Together, this framework reinforces our respect for human rights – including our commitment to a safe workplace, the wellbeing of our colleagues, prohibition of child and forced labor, quality education for our current and future colleagues, a diverse and inclusive workforce, freedom of association and right to collective bargaining and equal pay for equal work, among others.

Managing Ethics and Compliance Risks

Management of ethics and compliance risks is the responsibility of every employee and manager. This is further supported by a second layer of risk management. We have a second layer of independent checks and controls from its compliance functions and Ethics and Compliance Group. As a third layer, Internal Audit performs periodic reviews to control risk.

Supply Chain Transparency

In accordance with the UK Modern Slavery Act 2015, the California Transparency in Supply Chains Act and Canada’s Fighting Against Forced Labour and Child Labour in Supply Chains Act, the relevant Lonza entities have prepared certain disclosures about supply chain transparency. The disclosures set out the steps that those Lonza entities have taken and the planned future actions to prevent modern slavery, forced labor and child labor in their business and direct supply chain.
